Welcome to Borzai ("we," "us," "our," or "Company"), operated by GameReady Limited. These Terms of Service ("Terms") govern your use of our AI-powered assistant service for business communication through third-party platform integrations, including our website, applications, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

Important Notice: Our Services utilize artificial intelligence technology that may process, analyze, and respond to communications. By using our Services, you acknowledge that you may be interacting with AI-powered systems.

1. Acceptance and Modification of Terms

By creating an account, accessing, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. This agreement is effective upon your first use of the Services.

We may modify these Terms at any time in our sole discretion. We will notify you of material changes by email, through the Services, or by posting updated Terms on our website. Changes become effective 30 days after notice, unless otherwise specified. Your continued use after changes become effective constitutes acceptance of the modified Terms.

We may modify, suspend, or discontinue any aspect of the Services at any time, including features, functionality, or availability. We will provide reasonable notice for material changes that affect your use of the Services.

2. Eligibility and Account Requirements

You may use our Services only if you are:

  • Not previously suspended or banned from the Services

Borzai provides AI-powered communication assistance through integrations with:

  • Communication platforms (including Meta WhatsApp) for message processing and routing
  • Business productivity platforms (including Google Workspace) for email, calendar, and document management
  • Other third-party business platforms and services as available

3.2 AI Technology Notice

Our Services utilize artificial intelligence technology that:

  • Processes and analyzes communications to provide intelligent assistance
  • May generate automated responses and suggestions
  • Learns from usage patterns to improve performance
  • Operates subject to inherent limitations of AI technology

3.3 Service Availability

While we strive to provide reliable Services, we do not guarantee uninterrupted availability. Services may be subject to maintenance, updates, or temporary outages. We will provide reasonable notice of planned maintenance when possible.

4. Acceptable Use Policy

4.1 Permitted Use

You may use our Services for legitimate business and personal communication purposes in compliance with these Terms and applicable law.

4.2 Prohibited Activities

You agree not to use the Services to:

The Services, including all software, technology, content, trademarks, and other materials, are owned by Borzai or our licensors. You receive only a limited, non-exclusive, non-transferable license to use the Services as permitted by these Terms.

5.2 Your Content

You retain ownership of content you provide to the Services ("Your Content"). By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Process, store, and transmit Your Content to provide the Services
  • Create derivative works for service improvement (subject to your privacy preferences)
  • Use aggregated, anonymized data for analytics and AI training
  • Display Your Content as necessary for service functionality

5.3 AI-Generated Content

Content generated by our AI systems in response to your inputs ("AI-Generated Content") is provided to you subject to these Terms. You may use AI-Generated Content in accordance with applicable law, but we make no warranties regarding its accuracy, completeness, or fitness for purpose.

5.4 Feedback

Any feedback, suggestions, or improvements you provide regarding the Services become our property and may be used without restriction or compensation to you.

6. Privacy and Data Protection

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy details how we handle personal data, your privacy rights, our use of cookies and tracking technologies, data processing agreements for business customers, and all other privacy-related matters. 7. Payment Terms and Billing

You acknowledge that AI technology has inherent limitations and may:

  • Misinterpret context or intent in communications
  • Reflect biases present in training data
  • Generate content that appears plausible but is factually incorrect
  • Fail to understand nuanced or complex communications

8.2 Human Oversight Required

Our Services are designed to assist and augment human communication, not replace human judgment. You are responsible for:

  • Reviewing and validating AI-generated content before use
  • Maintaining appropriate human oversight of AI-assisted communications
  • Ensuring compliance with professional, legal, and ethical standards
  • Making final decisions based on your own judgment

8.3 Professional and Medical Advice Disclaimer

Our Services do not provide professional advice (legal, financial, medical, or otherwise). AI-generated content should not be relied upon as professional advice. Always consult qualified professionals for important decisions.

8.4 Service Availability

While we strive for high availability, we do not guarantee that Services will be uninterrupted or error-free. AI services may experience performance variations, and third-party integrations may affect functionality.

9. Third-Party Integrations

9.1 Third-Party Services

Our Services integrate with third-party platforms (including Meta platforms, Google services, and other business productivity tools). Your use of these integrations is subject to:

  • The third party's own terms of service and privacy policies
  • Authentication and authorization requirements
  • Available APIs and functionality provided by the third party
  • Potential service interruptions or changes by third parties

We are not responsible for:

10. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT
  • UNINTERRUPTED OR ERROR-FREE SERVICE OPERATION
  • SECURITY OR FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS
  • COMPATIBILITY WITH YOUR SYSTEMS OR THIRD-PARTY SERVICES

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • DAMAGES RESULTING FROM AI-GENERATED CONTENT OR DECISIONS
  • SERVICE INTERRUPTIONS OR THIRD-PARTY INTEGRATION FAILURES
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

10.3 Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of the Services, violation of these Terms, or infringement of third-party rights, except to the extent such claims result from our gross negligence or willful misconduct.

11. Term and Termination

11.1 Term

These Terms remain in effect while you use the Services or maintain an account with us.

11.2 Termination by You

You may terminate your account at any time by following the account closure process in the Services or contacting support. Termination does not entitle you to a refund of pre-paid fees.

11.3 Termination by Us

We may suspend or terminate your access to the Services at any time if:

  • You violate these Terms or our policies
  • Your account remains inactive for an extended period
  • We are required to do so by law or legal process
  • We discontinue the Services (with reasonable notice)
  • Your payment method fails or you have outstanding fees

11.4 Effect of Termination

Upon termination:

  • Your right to use the Services immediately ceases
  • We may delete your account and associated data after reasonable notice
  • You remain liable for any outstanding fees or obligations
  • Provisions regarding liability, indemnification, and dispute resolution survive

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by the laws of Hong Kong SAR, without regard to conflict of law principles.

12.2 Dispute Resolution

For disputes arising from these Terms or the Services, we encourage first contacting us directly to seek resolution. If direct resolution is unsuccessful, disputes may be resolved through:

  • Initial dispute resolution through email contact at info@borzai.dog
  • Binding arbitration administered by a recognized arbitration organization
  • Alternative dispute resolution mechanisms as mutually agreed
  • Courts of competent jurisdiction in Hong Kong SAR

12.3 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes individually and waive rights to participate in class actions or collective proceedings.

12.4 International Users

If you access the Services from outside Hong Kong SAR, you are responsible for compliance with local laws and regulations. These Terms do not override mandatory consumer protection laws in your jurisdiction.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Borzai regarding the Services.

13.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

13.4 Assignment

We may assign these Terms or our rights and obligations hereunder without notice. You may not assign these Terms without our prior written consent.

13.5 Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.

13.6 Survival

Provisions regarding intellectual property, liability limitations, indemnification, dispute resolution, and other provisions that by their nature should survive termination will remain in effect after these Terms end.
